These Terms of Service govern your access to and use of the Quikit website, platform, applications, APIs, AI features, integrations, documentation, support services, trials, and related products and services.
Quikit is operated by MoreYeahs IT Technologies Pvt. Ltd. In these Terms, “Quikit,” “we,” “us,” and “our” refer to MoreYeahs IT Technologies Pvt. Ltd. and its authorized affiliates involved in delivering the services.
By creating an account, accepting an order form, starting a trial, clicking an acceptance button, or using the services, you agree to these Terms.
If you use Quikit on behalf of a company or other organization, you represent that you are authorized to bind that organization. In that case, “you” and “Customer” refer to the organization.
You must be at least 18 years old and legally capable of entering into a binding agreement to use Quikit.

We may improve, modify, add, or discontinue features from time to time. We will provide reasonable notice where a change materially reduces paid core functionality, except where immediate action is required for security, legal, technical, or operational reasons.
You must provide accurate and current account information.

An organization administrator may access, manage, export, restrict, or delete information associated with organization-managed accounts.
Quikit may rely on instructions provided by an authorized administrator.
You may not share individual user accounts except where a product expressly permits shared access.
Quikit may offer free plans, paid plans, trials, pilots, previews, early-access features, or beta services.
Trials and beta services may:
You should not use beta services for critical production workloads unless Quikit expressly agrees otherwise in writing.
Fees, billing periods, usage limits, taxes, and payment terms will be displayed at purchase or stated in an applicable order form, proposal, invoice, or subscription agreement.

If payment becomes overdue, we may restrict or suspend access after providing reasonable notice.
Fees are non-refundable except where:
Cancellation normally takes effect at the end of the current paid billing period. You will retain access until that period expires unless the account is terminated for breach.
Subject to these Terms and payment of applicable fees, Quikit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the services during the applicable subscription period for your internal business purposes.
You may allow authorized employees, contractors, and representatives to use the services on your behalf, provided that you remain responsible for their compliance with these Terms.
No ownership rights are transferred to you.
You must not use Quikit to:
We may investigate suspected misuse and restrict or suspend access where reasonably necessary.
You retain ownership of Customer Content.
You grant Quikit and its authorized service providers a worldwide, non-exclusive, limited right to host, copy, transmit, display, process, modify, and otherwise use Customer Content solely as necessary to:

You are responsible for the accuracy, legality, quality, and appropriateness of Customer Content.
Quikit may provide AI-generated summaries, recommendations, classifications, predictions, drafts, workflows, reports, responses, actions, and other outputs.
You acknowledge that:
You must not use AI features to make decisions producing legal or similarly significant effects on an individual without appropriate human oversight and compliance safeguards.
Quikit may impose additional restrictions on certain AI use cases to protect users, third parties, and the integrity of the services.
Quikit may allow you to connect third-party products and services.
By enabling an integration, you authorize Quikit to exchange relevant information with that provider according to your instructions and permissions.
Quikit is not responsible for:
Your use of third-party services is governed by the third party’s own terms.
API use may be subject to documentation, rate limits, authentication requirements, technical restrictions, and additional terms.
You are responsible for protecting API keys and access tokens.

You grant Quikit a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

We maintain reasonable safeguards designed to protect Customer Content. Additional information is provided on the Quikit Security page.
You acknowledge that no online service can guarantee absolute security.
You are responsible for:
Support channels, availability, response targets, and service levels depend on the selected plan or customer agreement.
Response targets are objectives and are not guaranteed service-level commitments unless included in a signed agreement.
We may suspend access where reasonably necessary because:
Where practicable, we will provide notice and an opportunity to resolve the issue.
You may stop using Quikit or cancel a subscription according to the applicable subscription process.
We may terminate an account or agreement where:

To the maximum extent permitted by law, Quikit is provided on an “as is” and “as available” basis.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
To the maximum extent permitted by law, neither party will be liable for:
To the maximum extent permitted by law, Quikit’s total aggregate liability arising out of or relating to the services or these Terms will not exceed the total fees paid or payable by the Customer to Quikit for the affected services during the twelve months immediately preceding the event giving rise to the claim.
For a free service, Quikit’s total aggregate liability will not exceed INR 10,000.
These limitations do not apply to liability that cannot legally be limited or excluded.
You agree to defend, indemnify, and hold harmless Quikit, MoreYeahs IT Technologies Pvt. Ltd., its affiliates, officers, employees, and representatives from claims, losses, liabilities, damages, penalties, and reasonable legal expenses arising from:
Quikit will provide reasonable notice of an indemnified claim and allow you to control the defence, subject to Quikit’s right to participate with its own counsel.
Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, internet or telecommunications failures, cyberattacks, government actions, labour disputes, war, civil unrest, epidemics, utility failures, or failures of essential third-party infrastructure.
Payment obligations already incurred are not excused by this provision.
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
The courts located in Indore, Madhya Pradesh, India will have exclusive jurisdiction over disputes arising from these Terms or the services, unless a signed customer agreement provides otherwise.
Before commencing formal proceedings, the parties will attempt in good faith to resolve the dispute through written notice and discussion.
We may update these Terms to reflect changes in the services, law, security requirements, or business practices.
Updated Terms will be posted with a revised “Last updated” date.
Where required, we will provide notice of material changes. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
These Terms, together with any applicable order form, Privacy Policy, product-specific terms, and signed customer agreement, constitute the agreement between the parties concerning the services.
If there is a conflict, the following order generally applies:
Failure to enforce a provision is not a waiver.
If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue.
You may not assign these Terms without our written consent. Quikit may assign them in connection with a merger, restructuring, acquisition, affiliate reorganization, or sale of substantially all relevant assets.
There are no third-party beneficiaries unless expressly stated.
