Terms of Service

You must be at least 18 years old and legally capable of entering into a binding agreement to use Quikit.

You may not use the services if:

• You are prohibited from doing so under applicable law.
• You are subject to sanctions or trade restrictions that prohibit the transaction.
• Your account has previously been suspended or terminated for material violations.
• You do not have authority to act on behalf of the organization you represent.

Quikit provides connected business applications that may include CRM, project management, performance management, HR, marketing, customer service, construction, analytics, automation, communication, APIs, AI-enabled tools, and related functionality.

Available products, features, limits, support levels, and pricing may vary by:

• Subscription plan.
• Region.
• Product.
• Account configuration.
• Customer agreement.
• Beta or preview status.

We may improve, modify, add, or discontinue features from time to time. We will provide reasonable notice where a change materially reduces paid core functionality, except where immediate action is required for security, legal, technical, or operational reasons.

You must provide accurate and current account information.

You are responsible for:

• Maintaining the confidentiality of login credentials.
• Using appropriate password and authentication controls.
• Restricting account access to authorized users.
• Configuring roles and permissions appropriately.
• All activity occurring through your account.
• Promptly notifying Quikit of suspected unauthorized access.

An organization administrator may access, manage, export, restrict, or delete information associated with organization-managed accounts.

Quikit may rely on instructions provided by an authorized administrator.

You may not share individual user accounts except where a product expressly permits shared access.

Quikit may offer free plans, paid plans, trials, pilots, previews, early-access features, or beta services.

Trials and beta services may:

• Have limited functionality.
• Be changed or discontinued at any time.
• Be provided without service-level commitments.
• Contain errors or incomplete features.
• Be subject to usage limits.
• Result in loss of data when the trial or beta period ends.

You should not use beta services for critical production workloads unless Quikit expressly agrees otherwise in writing.

Fees, billing periods, usage limits, taxes, and payment terms will be displayed at purchase or stated in an applicable order form, proposal, invoice, or subscription agreement.

Unless otherwise stated:

• Subscription fees are billed in advance.
• Fees are exclusive of applicable taxes.
• You are responsible for taxes associated with your purchase, other than taxes on Quikit’s income.
• Paid subscriptions may renew automatically for successive billing periods.
• You authorize Quikit and its payment providers to charge the selected payment method.
• You must maintain accurate billing and payment information.

If payment becomes overdue, we may restrict or suspend access after providing reasonable notice.

Fees are non-refundable except where:

• Required by law.
• Expressly stated in an applicable order form.
• Quikit agrees otherwise in writing.

Cancellation normally takes effect at the end of the current paid billing period. You will retain access until that period expires unless the account is terminated for breach.

Subject to these Terms and payment of applicable fees, Quikit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the services during the applicable subscription period for your internal business purposes.

You may allow authorized employees, contractors, and representatives to use the services on your behalf, provided that you remain responsible for their compliance with these Terms.

No ownership rights are transferred to you.

You must not use Quikit to:

• Violate any law, regulation, court order, or third-party right.
• Upload or distribute unlawful, fraudulent, defamatory, abusive, hateful, or deceptive content.
• Infringe intellectual property, privacy, confidentiality, publicity, or contractual rights.
• Send spam, unsolicited communications, or unlawful marketing messages.
• Introduce malware, ransomware, viruses, harmful code, or malicious files.
• Probe, scan, test, or exploit vulnerabilities without written authorization.
• Circumvent authentication, access restrictions, usage limits, or security controls.
• Access another customer’s account or data without authorization.
• Interfere with the availability, performance, or integrity of the services.
• Reverse engineer, decompile, disassemble, copy, or attempt to derive source code, except where expressly permitted by law.
• Scrape or extract data through unauthorized automated means.
• Resell, sublicense, lease, or commercially exploit the services without written permission.
• Create a competing product using Quikit’s confidential information or proprietary elements.
• Falsely represent AI-generated content as verified or authoritative.
• Use the services for prohibited surveillance, discrimination, exploitation, or unlawful profiling.
• Process highly regulated or sensitive information unless expressly supported by the selected product and contract.
• Use Quikit to make fully automated high-impact decisions without legally required human review.

We may investigate suspected misuse and restrict or suspend access where reasonably necessary.

You retain ownership of Customer Content.

You grant Quikit and its authorized service providers a worldwide, non-exclusive, limited right to host, copy, transmit, display, process, modify, and otherwise use Customer Content solely as necessary to:

• Provide the services.
• Perform customer instructions.
• Maintain security and reliability.
• Prevent fraud and abuse.
• Provide support.
• Comply with applicable law.
• Exercise rights expressly permitted under the applicable agreement.

You represent and warrant that:

• You have all rights and permissions required to submit Customer Content.
• Customer Content and its processing through Quikit will not violate applicable law or third-party rights.
• You have provided required privacy notices and obtained required consents.
• Your instructions to Quikit are lawful.

You are responsible for the accuracy, legality, quality, and appropriateness of Customer Content.

Quikit may provide AI-generated summaries, recommendations, classifications, predictions, drafts, workflows, reports, responses, actions, and other outputs.

You acknowledge that:

• AI outputs are generated using probabilistic technologies.
• Outputs may be inaccurate, incomplete, outdated, biased, or unsuitable.
• Similar or identical outputs may be generated for different users.
• Quikit does not guarantee that outputs are unique or free from third-party claims.
• AI output is not legal, medical, financial, tax, employment, compliance, or other professional advice.
• You must independently review outputs before relying on, publishing, sending, or acting on them.
• You remain responsible for decisions and actions taken using AI features.

You must not use AI features to make decisions producing legal or similarly significant effects on an individual without appropriate human oversight and compliance safeguards.

Quikit may impose additional restrictions on certain AI use cases to protect users, third parties, and the integrity of the services.

Quikit may allow you to connect third-party products and services.

By enabling an integration, you authorize Quikit to exchange relevant information with that provider according to your instructions and permissions.

Quikit is not responsible for:

• Third-party products or services.
• Their continued availability.
• Their security or privacy practices.
• Changes made by the provider.
• Data loss or damage caused by the third-party service.
• Fees charged by third parties.

Your use of third-party services is governed by the third party’s own terms.

API use may be subject to documentation, rate limits, authentication requirements, technical restrictions, and additional terms.

You are responsible for protecting API keys and access tokens.

You must not:

• Expose credentials publicly.
• Exceed usage limits.
• Use APIs to bypass product restrictions.
• Use APIs to access information without authorization.
• Interfere with API stability or security.

We may modify or retire API versions with reasonable notice where commercially practicable.

Each party may receive confidential information from the other.

The receiving party will:

• Use confidential information only for the purposes of the business relationship.
• Protect it using reasonable care.
• Limit access to individuals who need the information and are bound by confidentiality obligations.
• Not disclose it to third parties except as authorized or legally required.

Confidential information does not include information that:

• Becomes public without breach.
• Was already lawfully known.
• Is independently developed.
• Is lawfully received from another source without restriction.

Quikit and its licensors retain all rights in:

• The services.
• Software and source code.
• Product design and user interface.
• Documentation.
• APIs and data models.
• Workflows, templates, and system architecture.
• Trademarks, names, logos, and branding.
• AI systems and platform technology.
• Improvements, updates, and derivative works.

Except for the limited rights granted in these Terms, no license or ownership right is transferred.

You may provide suggestions, ideas, or feedback.

You grant Quikit a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

Our processing of personal data is described in the Quikit Privacy Policy.

We maintain reasonable safeguards designed to protect Customer Content. Additional information is provided on the Quikit Security page.

You acknowledge that no online service can guarantee absolute security.

You are responsible for:

• Configuring permissions.
• Managing users.
• Protecting credentials.
• Securing connected systems.
• Maintaining appropriate backups or exports where necessary.
• Evaluating whether Quikit is suitable for your regulatory requirements.

Support channels, availability, response targets, and service levels depend on the selected plan or customer agreement.

Response targets are objectives and are not guaranteed service-level commitments unless included in a signed agreement.

We may suspend access where reasonably necessary because:

• Fees are overdue.
• There is a material breach of these Terms.
• Use creates a security risk.
• Use may harm Quikit, another customer, or a third party.
• We reasonably suspect fraud, abuse, or unlawful activity.
• Suspension is required by law.
• Continued operation may expose Quikit to legal liability.

Where practicable, we will provide notice and an opportunity to resolve the issue.

You may stop using Quikit or cancel a subscription according to the applicable subscription process.

We may terminate an account or agreement where:

• You materially breach these Terms and do not remedy the breach within a reasonable period after notice.
• The breach cannot reasonably be remedied.
• Payment remains overdue.
• Your use creates an ongoing security or legal risk.
• We are legally required to terminate the service.
• You become insolvent or cease normal business operations.

Upon termination:

• Your right to use the services ends.
• Outstanding fees become due.
• You should export Customer Content before the account closes.
• Customer Content may be deleted according to our retention process.
• Provisions intended to survive termination will remain effective.

To the maximum extent permitted by law, Quikit is provided on an “as is” and “as available” basis.

We do not warrant that:

• The services will always be uninterrupted or error-free.
• Every defect will be corrected.
• The services will meet every business or regulatory requirement.
• AI outputs will be accurate or complete.
• Integrations will remain available.
• The services will prevent every security incident or data loss.
• Results obtained through the services will meet a particular commercial objective.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by law, neither party will be liable for:

• Indirect damages.
• Incidental damages.
• Special damages.
• Punitive or exemplary damages.
• Loss of profits, revenue, goodwill, opportunity, or anticipated savings.
• Business interruption.
• Loss or corruption of data.
• Damages resulting from third-party products or services.

To the maximum extent permitted by law, Quikit’s total aggregate liability arising out of or relating to the services or these Terms will not exceed the total fees paid or payable by the Customer to Quikit for the affected services during the twelve months immediately preceding the event giving rise to the claim.

For a free service, Quikit’s total aggregate liability will not exceed INR 10,000.

These limitations do not apply to liability that cannot legally be limited or excluded.

You agree to defend, indemnify, and hold harmless Quikit, MoreYeahs IT Technologies Pvt. Ltd., its affiliates, officers, employees, and representatives from claims, losses, liabilities, damages, penalties, and reasonable legal expenses arising from:

• Customer Content.
• Your unlawful use of the services.
• Your violation of these Terms.
• Your violation of third-party rights.
• Your failure to obtain required permissions or consents.
• The conduct of your authorized users.

Quikit will provide reasonable notice of an indemnified claim and allow you to control the defence, subject to Quikit’s right to participate with its own counsel.

Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, internet or telecommunications failures, cyberattacks, government actions, labour disputes, war, civil unrest, epidemics, utility failures, or failures of essential third-party infrastructure.

Payment obligations already incurred are not excused by this provision.

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

The courts located in Indore, Madhya Pradesh, India will have exclusive jurisdiction over disputes arising from these Terms or the services, unless a signed customer agreement provides otherwise.

Before commencing formal proceedings, the parties will attempt in good faith to resolve the dispute through written notice and discussion.

We may update these Terms to reflect changes in the services, law, security requirements, or business practices.

Updated Terms will be posted with a revised “Last updated” date.

Where required, we will provide notice of material changes. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

These Terms, together with any applicable order form, Privacy Policy, product-specific terms, and signed customer agreement, constitute the agreement between the parties concerning the services.

If there is a conflict, the following order generally applies:

1. Signed customer agreement or order form.
2. Product-specific terms.
3. These Terms.
4. Other website policies.

Failure to enforce a provision is not a waiver.

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue.

You may not assign these Terms without our written consent. Quikit may assign them in connection with a merger, restructuring, acquisition, affiliate reorganization, or sale of substantially all relevant assets.

There are no third-party beneficiaries unless expressly stated.
